ASE Members OK Change in Society Governance

The America Society of Employers has been in existence since 1902. This was before there was even a law in Michigan defining what a non-profit association was and how it must operate in the State. Not until 1952 did the State of Michigan enact the Michigan Non-profit Act to govern incorporation and governance of associations. At that point ASE, known then as the Employers Association of Detroit, incorporated as a non-profit association, wholly-owned and governed by its members through the members’ annual election of its Board of Directors.

 

Late in 2014 our non-profit association legal counsel, Clark Hill, suggested updating ASE’s Articles of Incorporation to reflect recent amendments to the State of Michigan’s Non-profit Act. From this suggestion arose the idea to streamline ASE’s governance from the traditional “Membership Association” model to a more contemporary model known as a “Directorship Association.”

 

ASE announced its intention, in a letter to the members that went out in December 2015, to seek the members’ approval to change the Society’s Articles of Incorporation to reflect the new model of governance. In January 2016 the members voted and nearly unanimously approved the proposed change. At its Annual Meeting on February 26, ASE’s Board of Directors approved and formalized the changes.

 

The ASE Board of Directors and its Management team made this change to streamline decision-making for the Society and bring its governing Articles of Incorporation and By-laws forward to best serve its members in the 21st Century.
